Glossary · Contract and law

Jurisdiction

The designation of which court has territorial jurisdiction when a legal dispute arises from a contract with a production company, agency, or platform.

Jurisdiction determines which court has territorial jurisdiction when a legal dispute arises from a contract. If it is stated in the contract, this is referred to as a jurisdiction agreement. If there is no such clause, the law determines where legal action may be brought, generally at the place of residence or registered office of the defendant.

Why an inconspicuous line carries weight

The clause usually appears at the very end of a model contract, between the written-form clause and the severability clause, and is accordingly rarely read. For you, however, it determines how realistic it is to enforce a claim at all. Anyone who wants to sue over outstanding fees or a publication in breach of contract and has to travel to another city or abroad to do so will think twice, even if they are in the right.

What is permitted under German law

Jurisdiction agreements made before a dispute arises are permitted only to a limited extent under German civil procedure law. They are generally effective without further requirements mainly between merchants. Many performers are self-employed, but they are not merchants within the meaning of commercial law. Whether a clause is binding in a specific case therefore depends on your status and the precise wording.

Jurisdiction must be distinguished from the choice of law. One clause determines where the proceedings will take place, while the other determines which law applies. A contract may provide for German law and a German court, but it may also provide for foreign law before a foreign court.

If there is no jurisdiction clause, that is not a defect. The statutory rules then apply, and in a lawsuit against a German production company they generally lead to its registered office, or, for payment claims, under certain circumstances also to the place where the service was to be performed. For most disputes concerning a single fee, this is a manageable journey.

Contracts involving foreign countries

Things become more complicated with productions and platforms based abroad. Within the EU, there are common rules on jurisdiction and the recognition of judgments. Outside the EU, the respective national law applies, and a German judgment may first have to be recognized there before it can be enforced. Jurisdiction abroad can make bringing a claim effectively hopeless because lawyers, translations, and travel can quickly cost more than the fee in dispute.

A contractual partner who insists on a jurisdiction far away often assumes that a dispute will not be pursued in the first place. This alone does not prove a lack of seriousness, but it is part of the overall assessment described in the article How to spot unserious offers in five minutes.

These points belong on your checklist

  • Is a jurisdiction specified, and where is it located?
  • Which law is supposed to apply?
  • For foreign productions, is there a German contractual partner or a German branch involved?
  • Is there mediation or arbitration, and who bears its costs?

For contracts with foreign partners or unusual jurisdictions, it is worth having a lawyer conduct a brief review before signing. This entry explains the term and does not replace legal advice.
