Framework Agreement

A basic agreement that sets the conditions for multiple future shoots, while each individual date is agreed and confirmed separately.

A framework agreement sets the conditions intended to apply to an entire series of future shoots with the same production or agency, without itself agreeing to a specific date. Payment method, rights, tests, and cancellation rules are set out once; each individual shoot day is then requested and confirmed separately.

Two levels: framework and individual assignment

The framework answers the questions that arise for every shoot: who pays, how quickly, which usage rights are granted in principle, how tests and expenses are regulated, and what applies in the event of cancellations. The individual assignment adds what changes from one shoot to the next: date, location, role, type of production, and the specific fee.

This has a practical advantage for you. Anyone who works regularly for the same production does not have to read through a complete model contract from scratch every time. The disadvantage is the same point viewed from the other side: What is set out in the framework applies to all later shoots, including those you cannot yet foresee when signing.

What a framework depends on in practice

A framework agreement generally does not obligate either party to carry out a shoot at all. It only states the conditions under which a shoot will take place if both parties agree. If, on the other hand, it includes a minimum number of shoot days or an obligation to accept requests, it is more than a framework, and the distinction from an exclusive contract becomes small.

The hierarchy between the documents is important. Good framework agreements expressly state whether the individual assignment may amend the framework or whether the framework always takes precedence. Without this rule, disputes arise as soon as a confirmation sent by message says something different from the signed basic document.

The boundaries list should not be included in the framework in a blanket form and for all time. It may change, and it relates to specific scenes. It makes sense to review and confirm it again for every shoot. With us, the yes-no-maybe list is part of the contract and not a marginal note.

Term, withdrawal, and the question of dependence

A framework agreement often runs for an indefinite period or renews automatically. The notice period is then decisive: How long does the framework remain in force if you want to withdraw, and what applies to dates that have already been confirmed?

Another point concerns your status. Anyone who works permanently through a framework only for one client, is given fixed working hours, and is not allowed to reject requests moves closer to false self-employment. This is not an automatic consequence of a framework agreement, but it is a reason to read the clauses on the obligation to accept assignments carefully. Tax advisers or lawyers are responsible for providing a binding assessment.

What you should check before signing

  • Does the framework obligate you to accept requests, or does each booking remain voluntary?
  • Which rights are granted on a blanket basis for all shoots, and can they be restricted in the individual assignment?
  • How is an individual assignment confirmed, and in what form?
  • What applies if the individual assignment and the framework contradict each other?
  • How does the framework end, and what notice period applies?

A framework agreement saves time when the collaboration works, and binds you when it does not. Therefore, read it as if it concerned the most unpleasant shoot you can imagine under these conditions. This entry explains the term and does not replace legal advice.

An open question about this?

Terms explain the what, but not always how it applies to your own situation. If you want to know what this specifically means for you, ask us — it does not have to become an application. Many answers can already be found in the frequently asked questions.
