Confidentiality clause
A contractual duty not to pass on a production's internals — it must not, however, stop you reporting a crime or taking legal advice.
A confidentiality clause obliges you not to pass on certain information from a production: names of people involved, locations, unpublished content, terms. It sits in almost every model contract and is not unusual in itself.
What is usually protected
- Identity and legal names of the other people involved
- Location, dates and content not yet published
- Fees and contract terms
- Internals such as processes, technique and business relationships
- Your own material from set, meaning photos and videos behind the camera
The protection should run both ways. The same confidentiality the production claims for its internals then also applies to your legal name and your data. Check that expressly, because one-sided clauses occur.
Where the clause ends
This is the most important part of this entry. A confidentiality clause must not stop you
- reporting a crime to the police or the public prosecutor,
- giving evidence as a witness or information to authorities,
- taking legal advice and disclosing the contract in that context,
- meeting statutory duties, for example towards the tax office or a tax adviser,
- seeking medical or psychological help.
If a line was crossed on set or a crime happened, that is not a trade secret of the production. A clause that is meant to be read that way is a warning sign: it is trying to prevent reports.
The trusted person is not covered either. Speaking to someone who accompanies or advises you is not publication. Which rules apply on our sets is under safety.
When pressure is applied
The pattern is usually the same. The argument is not law but consequences: a contractual penalty, no further bookings, in the worst case the threat to publish material or your legal name.
Exactly at that point the case belongs with a lawyer and not in a discussion by message. Inflated penalty promises and threats with the legal name are known patterns of unreliable offers and say more about the other side than about your legal position.
Working through the clause in the contract
- Does confidentiality run both ways?
- Is the scope named, or does it simply capture all information?
- Is there a term, or does it run without limit?
- Are statutory duties to inform and legal advice expressly carved out?
- Is a penalty attached, and at what amount?
If the exception for authorities and advice is missing, that does not automatically mean the clause reaches that far. It means that in doubt you have to point it out yourself. An addition before the signature costs a sentence; a dispute afterwards costs considerably more.
